Annex 6 – Definitions

This Annex 6 forms part of the current Terms of Service.

1. Scope

The terms defined in this Annex 6 shall govern the ToS and its Annexes, and any other document or agreement referencing this Annex 6.

2. Definitions

  1. "Acceptable Use Policy" means the policy located at Acceptable Use Policy as may be updated by us from time to time.
  2. "Affiliate" means any entity that, directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with a Party.
  3. "Agreement" means the Order(s), the ToS and its Annexes.
  4. "AI" means artificial intelligence.
  5. "AI Functionality" means those certain artificial intelligence features and functionalities powered by an AI Subprocessor and enabled for use by Customer in the Platform, if any.
  6. "AI Subprocessor" means those certain third-party providers currently used by Flower Labs to provide a certain AI Functionality.
  7. "App" means any software application, workflow, model, or other executable code or artifact that is published to or made available through the Flower Hub.
  8. "App License" means the license terms declared by a Publisher that govern the downstream use of an App by other Users.
  9. "Artifact" means a packaged file (such as ZIP or FAB files) containing executable code, workflows, models, configuration files, or other components necessary to run an App.
  10. "Annexes" means the SuperGrid (SaaS) Service, Data Processing Addendum, the Data Act Addendum, the Consumer Addendum, and the Flower Hub Terms.
  11. "Applicable Law" means all laws, rules, and regulations applicable to either Party's performance under this Agreement, including, but not limited to, those applicable to the processing of personal data, in particular, the European General Data Protection Regulation 2016/679 ('GDPR') and all national laws validly amending the applicable rules for the processing of personal data.
  12. "Badge" means a verification badge or other trust signal displayed on an App within the Flower Hub, such as a "Verified" or "Approved" Badge.
  13. "Beta Services" means new services or new features available to Customer from time to time for evaluation and testing as part of the Platform.
  14. "Business Days" means any day except for a Saturday, Sunday, or other day on which the banks in Hamburg, Germany, are authorized or required by law to be closed.
  15. "Capacity" means the monthly purchased volumes of Compute Time and Network Traffic, or any other metrics described in the Order.
  16. "Confidential Information" means all information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally or in writing, which is designated as confidential, or which reasonably should be understood to be confidential given the nature of the information or circumstances of disclosure. Confidential Information also includes all summaries and abstracts of Confidential Information. For the avoidance of doubt, Customer's Confidential Information includes Customer Data.
  17. "Customer AI Data" means (a) any input You provide to be processed through the AI Functionality ("AI Input") and (b) any received output generated and returned by the AI Functionality based on Your AI Input ("AI Output"). Customer AI Data is a subset of Customer Data.
  18. "Customer Data" means all data supplied, submitted, ingested, processed, stored, posted, displayed, or otherwise made available by or on behalf of Customer for processing by or use with the Platform.
  19. "Documentation" means the instructions for use made available by Flower Labs regarding the Platform, the Software or SuperGrid Services.
  20. "Effective Date" means the date on which You subscribed to the Services.
  21. "Enterprise Controls" means additional controls and features offered by Flower Labs for enterprise customers, as further described in Section 7 of Annex 7.
  22. "Fees" means the remuneration to be paid by the Customer as further specified during the order process, or any applicable price list referred to on Flower Labs' website.
  23. "Flower Hub" means the platform feature within the Platform that enables the publishing, distributing, and execution of Apps.
  24. "Free Services" means Beta Services and Trial Services.
  25. "Intellectual Property Rights" means any and all copyright, neighboring and related rights, rights in inventions, patents, know-how, trade secrets, trademarks and trade names, service marks, design rights, rights in get-up, database rights and rights in data, semiconductor chip topography rights, utility models, domain names and all similar rights and, in each case, whether registered or not, including any applications to protect or register such rights, including all renewals and extensions of such rights or applications, whether vested, contingent or future, and wherever they might exist.
  26. "Internal Purposes" means the use of the Platform where You are the primary beneficiary.
  27. "License Restrictions" means any restrictions that apply to the use of AI Functionality of AI systems or models deployed by Flower Labs from an AI Subprocessor.
  28. "Network Traffic" or "NT" means aggregate data transferred between SuperLink and SuperNodes, measured in GigaByte for SuperGrid workloads within the month.
  29. "Order" means an order form executed by both Parties or a web‑based checkout confirmation displayed at purchase and stored in the Customer account.
  30. "Org-only App" means an App with a Visibility Level that restricts access to Users within the same organization as the Publisher.
  31. "Platform" means the comprehensive suite of software functionalities that Flower Labs delivers to You, either as a software-as-a-service (SaaS) solution accessible via the internet ("SaaS Platform") or as on-premises software installed and operated on Your local servers and devices.
  32. "Private App" means an App with a Visibility Level that restricts access to the Publisher and Users explicitly authorized by the Publisher.
  33. "Public App" means an App with a Visibility Level that permits any User of the Flower Hub to discover, access, and execute the App.
  34. "Publisher" means any User who publishes or makes available an App through the Flower Hub.
  35. "Compute Time" or "ct" means aggregate monthly compute time of both SuperLink and SuperNodes, adjusted by a compute factor that reflects the chosen resource type (e.g., higher vCPU or GPU increases consumption rate).
  36. "Services" means all services offered by Flower Labs, including but not limited to, the Software, SuperGrid Services, the Platform consisting of on-device libraries and a complementary cloud service designed to support large language model (LLM) inference and, in the future, tuning and training, as well as support services.
  37. "Software" means the open-source platform made available by Flower Labs on services such as GitHub, GitLab and others, together with any other software made available by Flower Labs anywhere in connection with this Agreement.
  38. "SuperLink" means the central SuperGrid orchestration component that runs as part of the Platform or, for self-hosted deployments, in a Customer-controlled environment. SuperLink coordinates SuperGrid workloads by receiving and scheduling work submitted through the Platform or APIs, managing communication with connected SuperNodes, and providing the control, metering, and identity and access management interfaces used to operate SuperGrid.
  39. "SuperGrid" means Flower Labs' managed federated computing service delivered via the Platform that enables Customer to orchestrate and run distributed workloads across Customer-controlled computing resources through a Flower Labs-managed service, together with any related features and capabilities made available by Flower Labs.
  40. "SuperGrid Services" means the services of SuperLink, SuperNode, and SuperGrid.
  41. "SuperNode" means the SuperGrid runtime component that Customer deploys on Customer-controlled computing resources. A SuperNode establishes an outbound connection to a SuperLink, retrieves and executes the work assigned to it (for example, training, evaluation, or other distributed computing tasks against local data or infrastructure), and returns results and telemetry to the SuperLink. Multiple SuperNodes can connect to the same SuperLink to form a single SuperGrid deployment.
  42. "Term" means the term as specified in the subscription plan for each individual subscription of Services.
  43. "Taxes" means taxes (e.g., value-added tax), levies, duties, or similar governmental assessments of any nature (collectively).
  44. "Visibility Level" means the access classification assigned to an App that determines who may discover, access, and execute that App (e.g., Public App, Private App, or Org-only App).
  45. "Third-Party Software" means any software owned and/or licensed by a third-party.
  46. "Third-Party App" means an App published to the Flower Hub by a Publisher other than Flower Labs.
  47. "Trial Period" means the period for which Trial Services are made available to the Customer.
  48. "Trial Services" means services or features available to the Customer on a trial basis.
  49. "User" means any authorized person, employee, third-party contractor of You who accesses or uses the Platform on Your behalf.
  50. "Withholding Tax" means any withholding Taxes imposed or levied by any governmental authority.
